Terms of Service

1. Services Description

• Custom website design and development
• Web application development (booking systems, member portals, league platforms)
• iOS and Android mobile application development
• UI/UX design and branding
• API integrations with third-party services
• Post-launch maintenance and support

2. Client Responsibilities

• Provide accurate, complete, and timely information required for the project
• Designate an authorized representative with decision-making authority
• Respond to requests for feedback or approvals within agreed timeframes
• Ensure all content provided does not infringe third-party intellectual property rights
• Not use any Kodlify-built platform for unlawful purposes

3. Payment Terms

Unless otherwise agreed, Kodlify invoices 50% deposit upon commencement, 25% at midpoint, and 25% upon delivery. All invoices are due within 14 days. Late payments accrue interest at 1.5% per month.

4. Intellectual Property

Upon receipt of full payment, Kodlify assigns to the Client all intellectual property rights in the custom-built deliverables. Kodlify retains ownership of proprietary frameworks, libraries, and tools used in delivery, granting the Client a non-exclusive perpetual licence to use them as incorporated in the delivered product.

5. Limitation of Liability

Kodlify's total liability shall not exceed the total fees paid in the 12 months preceding the claim. Kodlify shall not be liable for indirect, incidental, or consequential damages.

6. Termination

Either party may terminate with 30 days written notice. The Client shall pay for all work completed up to termination plus a 25% cancellation fee on remaining unbilled value. Kodlify may terminate immediately for breach or non-payment.

7. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party and not to disclose it without prior written consent.
